The services described in this notice are exclusively available to eligible users accessing Ripio US's platform from within the United States. If you are accessing this platform from outside the United States, different terms, products, and services may apply depending on your jurisdiction. 1. REGULATORY FRAMEWORK — UNITED STATES OPERATIONS
Ripio US (hereinafter "the Company" or "Ripio US") is a licensed Money Services Business (MSB) operating in the United States pursuant to a Money Transmitter License issued by the Florida Office of Financial Regulation (OFR) under Chapter 560, Florida Statutes, and registered with the Financial Crimes Enforcement Network (FinCEN) as required under 31 C.F.R. § 1022.380.
In the United States, the Company offers only limited financial services as expressly authorized under applicable federal and state money transmission regulations. All products and services provided by Ripio US to U.S.-based consumers are strictly governed by:
• Chapter 560, Florida Statutes (Money Transmitters' Code);
• The Bank Secrecy Act (BSA), 31 U.S.C. §§ 5311–5336, and its implementing regulations;
• Applicable notifications and regulatory guidance issued by the Florida Office of Financial Regulation (OFR); and
• All other applicable federal and state laws and regulations.
By accessing or using any service offered by Ripio US, you acknowledge and agree that your use is subject to the regulatory framework described in this notice, as well as the Company's full Terms and Conditions, Privacy Policy, and Anti-Money Laundering compliance program.
2. SERVICES CURRENTLY AVAILABLE IN THE UNITED STATES
As of the effective date of this notice, Ripio US offers the following money transmission services to eligible U.S.-based users:
AVAILABLE SERVICE: Purchase and Sale of Digital Assets via OTC Desk
Ripio US provides money transmission services enabling eligible users to buy and sell the following digital assets using United States Dollars (USD):
• Bitcoin (BTC)
• Ethereum (ETH)
• USD Coin (USDC)
• Tether (USDT)
All transactions are conducted exclusively through Ripio US's Over-the-Counter (OTC) desk service, as described in Section 3 below.
The Company does not currently offer any other financial product beyond the OTC desk money transmission services described herein. The scope of available services may be updated from time to time in accordance with applicable regulatory requirements, and any material changes will be reflected in an updated version of this notice.
3. OTC DESK SERVICES
All purchases and sales of digital assets offered by Ripio US to U.S.-based users are conducted exclusively through the Company's Over-the-Counter (OTC) desk. The OTC desk service operates as follows:
• Transactions are executed directly between the user and Ripio US, on a principal basis, outside of any public exchange or order book.
• OTC desk services are available to eligible users who have completed the Company's identity verification (KYC) and customer onboarding process in accordance with applicable AML/BSA requirements.
• All OTC transactions involve the exchange of United States Dollars (USD) for digital assets (BTC, ETH, USDC, USDT), or the exchange of digital assets for USD, subject to applicable pricing, fees, and settlement terms and conditions and special terms communicated and accepted by the user at the time of each transaction.
• OTC desk transactions are subject to minimum and maximum transaction size limits as determined by the Company from time to time.
• The Company reserves the right to decline, suspend, or terminate any transaction or user relationship in compliance with its legal and regulatory obligations, including its AML/BSA compliance program.

4. PRODUCTS AND SERVICES NOT AVAILABLE IN THE UNITED STATES
Ripio Group and its affiliates operate in multiple jurisdictions worldwide and may offer a broad range of financial products and services in those markets. Users accessing this platform from within the United States should be aware of the following important limitations:

IMPORTANT: The following products and services offered by Ripio Group in other countries are NOT available in the United States, and have not been launched, marketed, distributed, or made accessible to consumers residing in the United States at any point in time:
• Ripio Prepaid Card or any debit/prepaid card product;
• Cryptocurrency exchange or retail trading platform services;
• Lending, borrowing, or credit products;
• Staking, yield, or interest-bearing products;
• Derivatives, futures, options, or leveraged trading products;
• Any securities, investment products, or products subject to SEC jurisdiction;
• B2B services, API of crypto as a service.
• Any other product or service not expressly listed in Section 2 of this notice.
Ripio US makes no representation that any product, service, or feature offered by Ripio Group entities outside the United States is suitable, lawful, or available for use by persons residing in the United States. Attempting to access such products or services from within the United States may violate applicable law.
